Qwali Business Terms and Conditions

These Terms and Conditions ("Agreement") govern the relationship between Qwali LLC, a limited liability company organized under the laws of the State of Indiana ("Company"), and the independent contractor ("Contractor") who engages with the Company. By accepting these terms, the Contractor agrees to comply with the conditions outlined herein, which constitute a legally binding agreement.

1. Independent Contractor Status

The Contractor acknowledges and agrees that their engagement with Qwali LLC is as an independent contractor. The Contractor is solely responsible for all tax liabilities, including but not limited to income tax and self-employment tax, arising from compensation received under this Agreement. As an independent contractor, the Contractor is not entitled to employee benefits provided by Qwali LLC, including health insurance, retirement plans, or paid leave.

2. Standards of Conduct and Ethics

The Contractor agrees to maintain the highest ethical standards, demonstrating integrity, professionalism, and honesty in all interactions related to their role with Qwali LLC. Any misconduct, including fraud, unethical behavior, or illegal activities, is strictly prohibited and may result in immediate termination of this Agreement and potential legal action. The Contractor shall comply with all applicable laws and regulations, including federal and state guidelines governing their business operations.

3. Compliance with Do Not Call Regulations

The Contractor must adhere to all federal and state regulations, including the Telephone Consumer Protection Act (TCPA) and rules governing the National Do Not Call Registry. Any violation of these regulations will be treated as a material breach of this Agreement, resulting in immediate termination and potential legal action.

4. Data Protection and Privacy

The Contractor is required to implement appropriate technical and organizational measures to safeguard the confidentiality, integrity, and security of all data provided by Qwali LLC and its clients. The Contractor shall not share, disclose, or use any data, including client lists or proprietary information, without the prior written consent of Qwali LLC. Any breach of this provision may result in disciplinary action, termination of this Agreement, and legal liability.

5. Professionalism and Behavioral Standards

The Contractor must conduct themselves in a manner that reflects positively on the reputation and values of Qwali LLC. Behavior such as disrespect, inappropriate language, or harassment of clients, colleagues, or other contractors is strictly prohibited and will result in termination.

6. Non-Compete Clause

For six (6) months following the termination of this Agreement, the Contractor agrees not to engage in or assist any business entity competing directly with Qwali LLC within North America. This includes soliciting or providing similar services to Qwali LLC clients or using trade secrets or proprietary information obtained during the term of this Agreement.

7. Protection of Intellectual Property

All intellectual property provided by Qwali LLC, including but not limited to trademarks, logos, and marketing materials, remains the exclusive property of Qwali LLC. The Contractor agrees not to use these assets outside the scope of this Agreement without prior written approval.

8. Compensation and Payment

The Contractor will be compensated according to Qwali LLC’s commission structure, which is subject to change at the Company’s sole discretion. Payments will be made through the Contractor’s designated payment method, contingent on accurate and timely submission of required information. Qwali LLC does not guarantee specific income levels or financial success. The Contractor’s earnings are based solely on individual performance and external factors beyond the Company’s control.

9. Recruitment and Training Obligations

The Contractor may be required to recruit and train additional contractors as part of their role. All recruitment activities must align with Qwali LLC’s ethical guidelines, and misrepresentation of opportunities is strictly prohibited.

10. Termination of Agreement

Qwali LLC reserves the right to terminate this Agreement at any time, with or without cause. Upon termination, the Contractor must:

  • Return all Qwali LLC property, including documents and materials.

  • Cease use of any proprietary information or resources provided by Qwali LLC.

11. Governing Law

This Agreement shall be governed by the laws of the State of Indiana. Any disputes arising from this Agreement shall be resolved exclusively in the courts located within Indiana.

12. Confidentiality

The Contractor agrees to keep all proprietary and confidential information shared by Qwali LLC strictly confidential. This includes sales techniques, marketing strategies, and customer data. This obligation remains in effect even after the termination of this Agreement.

13. Dispute Resolution

In the event of a dispute, the parties agree to resolve the matter through informal negotiation. If unsuccessful, the parties will engage in mediation. If mediation fails, the dispute will proceed to binding arbitration under the rules of the American Arbitration Association.

14. Non-Solicitation

During the term of this Agreement and for one (1) year following termination, the Contractor shall not solicit or engage clients, customers, or other contractors of Qwali LLC to provide competing services.

15. Amendments and Updates

Qwali LLC reserves the right to modify these Terms and Conditions at any time. Contractors will be notified of changes, and continued engagement with Qwali LLC constitutes acceptance of the updated terms.

16. Entire Agreement

This Agreement represents the entire understanding between Qwali LLC and the Contractor, superseding any prior agreements or communications. Any changes to this Agreement must be made in writing and signed by both parties.

Acknowledgment and Acceptance

By signing or electronically agreeing to these Terms and Conditions, the Contractor confirms that they have read, understood, and agree to be bound by the provisions herein.​
